STANDARD TERMS AND CONDITIONS OF SALE AND SERVICE

Scope and Acceptance
These Terms and Conditions apply to all sales of products and services by IoTadmin LLC, whether conducted online, in person, or via invoice. By placing an order or accepting services, the client agrees to these terms. The client explicitly waives its own standard terms, even if submitted later, unless expressly agreed to in writing by IoTadmin LLC.
Quotations and Orders
All quotations are valid for 15 days unless otherwise stated. Orders are only binding upon written confirmation by IoTadmin LLC. All lead times and installation dates are estimates and not guaranteed.
Payment Terms
Payment is due within 30 business days of invoice unless otherwise stated.
Late payments incur a 10% fixed interest fee on the outstanding balance.
IoTadmin LLC may suspend services or delivery for late payments.
Accounts over 60 days past due may be referred to a collections agency, with all legal and recovery costs borne by the client.
Taxes and Withholding
The client is responsible for all applicable taxes, import duties, and local withholdings. Invoice amounts are net of any such obligations. IoTadmin LLC does not assume liability for tax laws or compliance in the client’s jurisdiction.
Service Terms and Limitations
IoTadmin LLC will perform services with reasonable care and effort but does not guarantee results or performance improvements.
Client must ensure safe, timely access to job sites, including power and internet connectivity if required.
IoTadmin LLC shall not be liable for delays caused by restricted access or unsafe working conditions.
Network Security Disclaimer: IoTadmin LLC is not liable for data loss, breaches, or unauthorized access arising after installation. The client is responsible for the ongoing security, maintenance, and monitoring of their IT systems.
Online Orders and Shipping
Orders from the online store are processed within 1–5 business days.
Delivery times are estimates and not guaranteed.
Returns are accepted within 14 days for unused products in original packaging.
Shipping costs are non-refundable unless the product is defective or the error is ours.
Warranty and Liability
Hardware is covered under the original manufacturer’s warranty unless otherwise specified.
IoTadmin LLC does not cover misuse, tampering, accidental damage, or improper installation by third parties.
IoTadmin LLC’s maximum liability is limited to the amount paid for the relevant product or service.
Under no circumstances will IoTadmin LLC be liable for incidental, special, indirect, or consequential damages.
Claims and Disputes
Claims must be submitted in writing via certified mail to IoTadmin LLC’s registered office within 28 calendar days of delivery or service completion. Claims submitted after this period will not be accepted.
Photography and Recordings Disclaimer
During on-site service, IoTadmin LLC may take photographs or video recordings for internal documentation, quality assurance, or promotional purposes. Clients may opt out of promotional use in writing prior to service delivery.
Force Majeure
IoTadmin LLC is not responsible for delays or failure to perform due to circumstances beyond its control, including but not limited to: natural disasters, power outages, supply chain disruptions, labor disputes, pandemics, or government restrictions.
Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared in the course of doing business, unless disclosure is required by law.
Governing Law and Jurisdiction
All contracts and disputes are governed exclusively by the laws of the State of Michigan, United States. Any legal action shall be brought in the courts of Wayne County, Michigan.13.
Client Responsibilities
The client is responsible for ensuring all necessary site conditions, including power, internet, physical access, and appropriate environmental conditions, are in place prior to scheduled service. (IoTadmin LLC reserves the right to charge for wasted trips or delays caused by site unpreparedness.)
Service Cancellation / Rescheduling Policy
Cancellations or reschedules within 24 hours of a scheduled appointment may incur a cancellation fee of $75.
No-shows or denied access at the time of service may result in additional charges of $100 or 10% of the quoted work (whichever is greater).
Title and Risk of Loss
For physical goods, title and risk of loss transfer to the client upon delivery to the shipping carrier.
For in-person delivery or installation, transfer occurs upon completion of the service or physical handoff.
Software & Configuration Disclaimer
IoTadmin LLC does not provide warranties on third-party software or firmware updates.
Changes made by the client or third parties to system settings, configurations, or firmware after installation are not covered under warranty or support.
Subcontractors and Assistants
IoTadmin LLC reserves the right to assign subcontractors or assistants to perform part of the work, provided they are qualified and insured.
Data Backup Responsibility
It is the client's responsibility to back up all data prior to installation, configuration, or service.
IoTadmin LLC is not liable for data loss during hardware installation, system changes, or diagnostics.
Severability
If any provision of these terms is found unenforceable, all other provisions will remain in full effect.
